Agreement to Terms

By accessing or using PricePal ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including merchants and affiliate partners.

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

• You are responsible for safeguarding your password and any activities under your account
• You must be at least 13 years old to use this Service
• You may not use another user's account without permission
• You must notify us immediately of any unauthorized access to your account
• You may not create accounts through automated means or under false pretenses

How PricePal Works

PricePal is a price comparison and product discovery platform. We provide information about products from various retailers but do not sell products directly.

Product Information

• Product prices, availability, and details are provided by third-party retailers and may change without notice
• We strive for accuracy but cannot guarantee all information is current or complete
• Images and descriptions are provided by merchants and may vary from actual products

Purchases

• When you click to buy a product, you are redirected to a third-party retailer's website
• All purchases are made directly with the retailer, not PricePal
• Each retailer has their own terms, privacy policy, and return/refund policies
• We are not responsible for any transactions you make with retailers

Affiliate Relationships

PricePal participates in affiliate marketing programs. This means we may earn commissions when you click on links to retailers and make purchases.

• Affiliate relationships do not affect the price you pay
• We may receive compensation from featured merchants
• Our product rankings are based on price and user preferences, not commission rates
• "Premier" merchants may have enhanced visibility but are clearly marked

Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any laws
• Attempting to gain unauthorized access to our systems or other users' accounts
• Interfering with or disrupting the Service or servers
• Scraping, data mining, or using automated systems to access the Service without permission
• Uploading viruses, malware, or other malicious code
• Harassing, abusing, or threatening other users
• Impersonating any person or entity
• Creating fake accounts or manipulating the follow/favorites system
• Using the Service to send spam or unsolicited communications

Intellectual Property

The Service and its original content, features, and functionality are owned by PricePal and are protected by international copyright, trademark, and other intellectual property laws.

• Product images and descriptions belong to their respective retailers and brands
• You may not copy, modify, or distribute our content without permission
• Our trademarks and trade dress may not be used without prior written consent

User Content

By posting content (such as profile photos or other information) on PricePal, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Service.

• You retain ownership of your content
• You are responsible for the content you post
• You must not post content that infringes on others' rights
• We may remove content that violates these Terms

Merchant Terms

If you are a merchant using our platform:

• You must provide accurate product information and pricing
• You are responsible for fulfilling orders placed through affiliate links
• You must comply with all applicable laws and regulations
• You agree to our commission structure and payment terms
• We reserve the right to remove merchants who violate these terms

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Upon your request to delete your account

Upon termination, your right to use the Service will immediately cease.

Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PRICEPAL MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Accuracy, completeness, or reliability of product information
• Continuous, uninterrupted, or secure access to the Service
• The quality, safety, or legality of products listed by retailers
• That the Service will meet your requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICEPAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of the United States.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

Your continued use of the Service after changes constitutes acceptance of the new Terms.
